شروط التعاقد B2B الخاصة بـ MoveERP.
1. Provider, B2B scope and applicability
The provider is Walter Herbrandt, trading as kölns-webdesign, Am Braunsacker 34, 50765 Cologne, Germany. These terms apply to MoveERP contracts with business customers. Consumer contracts are excluded.
2. Service and plans
MoveERP is configurable software for moving companies. Depending on the plan, functions may include customer/move data capture, calculation, quotes, invoices, email communication and, for Pro, additional inventory and planning functions. The plan description shown at checkout is decisive.
3. Contract formation and checkout
Product listings invite the customer to place an order. The contract is formed upon acceptance/electronic confirmation. Where an external checkout, payment or reseller service is used, the role and seller information expressly shown in that checkout applies to the relevant transaction.
4. Prices and German small-business VAT scheme
The prices shown at checkout apply. The provider currently uses the German small-business VAT scheme under § 19 UStG where applicable. If the tax status changes, billing will follow the law then in force.
5. Payment
Payment is made using the methods offered at checkout. Recurring fees are due at the beginning of each billing period.
6. Term and renewal
Monthly plans run for one month, annual plans for twelve months. The subscription renews for the same billing period unless cancelled for the end of the current period.
7. Cancellation
Cancellation is possible for the end of the current billing period via any technical cancellation function provided or in text form to info@moveerp.com. Access generally remains available until the end of the paid period.
8. Provision and setup
After contract formation, customers receive the access or setup information needed for their plan. If manual setup is required, processing is generally intended within 24 hours; this is not a guaranteed SLA.
9. Customer responsibility
Customers are responsible for the accuracy, legality and currency of their company data, prices, tax settings, calculation parameters, texts and other settings, and must test representative calculations, documents and emails before productive use.
10. Calculations, documents and no professional advice
MoveERP provides technical administration and calculation functions and does not replace legal, tax, data-protection, accounting or business advice.
11. Archiving
Unless expressly stated otherwise, MoveERP is not a tax-law compliant long-term archive. Customers are responsible for legally required retention and backup of business records.
12. Credentials and permitted use
Credentials must be kept confidential. Transfer, sublicensing, renting or resale to unauthorised third parties is not permitted without prior approval.
13. Licence rights
For the contract term, the customer receives a simple, non-exclusive, non-transferable right to use MoveERP for its own business purposes within the booked plan.
14. Availability, maintenance and third-party services
The provider aims for high availability but does not guarantee uninterrupted operation without a separate SLA. Maintenance, security updates and outages or changes of internet, hosting or third-party services may temporarily affect functions.
15. Development
MoveERP may be technically developed and reasonably adapted provided the essential contractual benefit is not materially impaired.
16. Privacy and processing
The Privacy Policy applies. Where personal data is processed on the customer's behalf, the separate DPA under Art. 28 GDPR applies.
17. Late payment
In case of late payment, access may be temporarily restricted or suspended after appropriate notice and within legal limits.
18. End of contract and data
After the contract ends, access may be disabled. Customers must export or otherwise secure needed data and documents in time.
19. Liability
Liability is unlimited for intent, gross negligence, injury to life/body/health and other mandatory cases. For slightly negligent breaches of essential contractual obligations, liability is limited, where legally permitted, to the foreseeable typical loss. Disadvantages caused by incorrect or unverified customer input are governed by these statutory standards.
20. No success guarantee
No specific revenue, number of leads, jobs, conversion rate or savings are guaranteed.
21. Changes to ongoing contracts
Necessary changes due to law, security or technical requirements will be communicated appropriately and made only within legally permitted limits.
22. Governing law and jurisdiction
German law applies, excluding the UN Convention on Contracts for the International Sale of Goods, where permitted. For merchants and equivalent entities, Cologne is the place of jurisdiction where legally permissible.
23. Severability
If a provision is invalid, the remaining provisions remain effective and the statutory rule applies.
